Terms of Service
Version 2026-08-18. These terms are a contract between you and [LEGAL ENTITY NAME] ("we", "us"). Please read section 9 (limits on our liability) and section 12 (arbitration and class-action waiver) — they affect your legal rights.
1. Who may use the service
You must be at least 18 and able to enter a contract. The service is built for real estate appraisers and appraisal professionals in the United States, and it is directed to that audience. You may use it from elsewhere, but we do not target any other market, we make no claim of compliance with any non-U.S. privacy or consumer law, and everything is hosted in the United States. If a law where you live restricts sending data to the United States, complying with it is your responsibility, not ours.
An account is for one person. Do not share credentials or let anyone else use your login. If your firm has several appraisers, each needs an account. Tell us promptly at [CONTACT EMAIL] if you think someone else has used yours.
2. What this service is — and what it is not
The service estimates a market-conditions time adjustment from sales data you supply, and produces an exhibit documenting that estimate and the method behind it.
It is a calculation tool. It is not an appraisal, and it is not appraisal, legal, financial or investment advice. It does not value any property. It does not certify anything. We are not appraisers acting on your assignment, we are not a party to your engagement, and we do not review or approve your work.
You remain solely responsible for your appraisal — for selecting comparable sales, for judging whether the output is credible and appropriate for your assignment, for the analysis and conclusions you sign, and for complying with USPAP, with Fannie Mae, Freddie Mac, FHA, VA or lender requirements, and with your state licensing rules. The exhibit supports your professional judgment; it never substitutes for it. We do not guarantee that any lender, reviewer, underwriter, GSE, regulator or court will accept it.
Outputs are statistical estimates. They carry confidence intervals and warnings for a reason. Read them.
3. Your data, and the rights you need to have in it
You bring your own data. We never connect to an MLS on your behalf and we hold no MLS data licence.
You represent and warrant that you have the right to upload everything you upload — including under your MLS participant or subscriber agreement, any MLS data licence, and any other agreement or law that governs the data. MLS rules commonly restrict what may be done with exported listing data, some MLSs require a vendor to be approved before their members' data may be processed by it, and those rules vary by MLS. Checking your own is your responsibility. If you cannot upload the data consistently with your obligations, do not upload it.
You keep all rights in what you upload. You grant us only the limited licence we need to host and process it in order to provide the service to you — nothing more.
We do not pool your data with anyone else's. We do not build a shared or aggregate database from customer uploads, we do not use one customer's data to serve another, we do not sell it, and we do not use it to train machine-learning models. Each account's data is isolated. This is not only a promise: it is enforced in the database and it is why using the service does not put your MLS data into "another database for use by or resale to other appraisers", which is what MLS rules typically forbid.
Raw uploaded rows are deleted automatically within 6 hours of upload. What persists afterwards is your analysis and its exhibit, not the export you uploaded.
4. Your exhibits, retention, and your workfile
We keep the exhibits you finalise for as long as we operate the service and your account exists, and you can download a complete copy of everything at any time from your account. Cancelling ends your ability to create new analyses. It never ends your ability to read and download the ones you already made. We built it that way deliberately, because a vendor that locks an appraiser out of exhibits already relied on in signed reports puts that appraiser out of USPAP compliance the day they leave.
We are not your workfile custodian of record. USPAP requires you to retain your workfile for at least five years after preparation, or two years after final disposition of any judicial proceeding in which you gave testimony about the assignment, whichever is later — and it requires you either to have custody of the workfile or to make appropriate retention, access and retrieval arrangements with whoever does. Treat the copy here as a convenience, not as that arrangement, unless we have separately agreed in writing that it is. Keep your own copy.
If we ever discontinue the service, we will give you reasonable advance notice and a period to export your data before it becomes unavailable.
5. Trial, subscription, automatic renewal and cancellation
New accounts get a 14-day free trial. No card is required to start it.
After the trial, the subscription is $29.00 per month and it renews automatically every month until you cancel. Your renewal date is set by the date you first subscribed, and your payment method is charged each period without further notice unless you cancel first. We will tell you by email before any price change takes effect.
You can cancel at any time from the Account page, in the same number of clicks it took to subscribe. You do not have to call, email or ask permission. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then.
We do not give refunds or prorated credits for a partial period. The free trial exists so you can decide before paying anything.
Payments are processed by Stripe. We never see or store your full card number. You are responsible for any taxes on your subscription.
6. Acceptable use
Do not: share your account; upload data you have no right to upload; resell, sublicense or redistribute the service or its outputs as a data product; use the service to build a competing product or a comparable-sales database; scrape, reverse engineer, decompile or probe it except as law expressly allows; attempt to reach another customer's data; interfere with the service's operation or security; or use it to break any law or any professional obligation you are under.
7. Intellectual property
We own the service — the software, the models, the interface and the documentation. You own your data, your analyses and your exhibits.
You may use the exhibits you generate in your appraisal reports and workfiles without further permission, including delivering them to your clients, lenders, reviewers and any regulator or court that asks for them. That licence is perpetual and survives cancellation, because an exhibit inside a signed report has to remain usable for as long as the report does.
8. Availability and disclaimer of warranties
We work to keep the service available and correct, but we do not promise it will be uninterrupted, error-free or secure against every threat. The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent the law allows. Some states do not allow certain warranty exclusions, so parts of this may not apply to you.
9. Limits on our liability
To the fullest extent the law allows:
- We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost business, lost data, or professional liability, disciplinary or licensing consequences arising from your appraisal work.
- Our total liability for any and all claims is capped at the greater of the fees you paid us in the twelve months before the claim arose, or $100.
These limits apply even if a remedy fails its essential purpose, and they reflect the price of the service — we could not offer it at $29.00 a month while insuring the outcome of your appraisal practice. They do not apply to liability that cannot be limited by law, including our own fraud or willful misconduct.
Carry your own errors-and-omissions insurance. Your professional exposure is yours and is not transferred to us by your using a tool.
10. Your indemnity
You will defend, indemnify and hold us harmless from claims, damages and reasonable legal fees arising out of: data you uploaded without the right to upload it; your breach of these terms; your appraisal work, reports and conclusions; and your violation of any law, MLS rule or professional obligation.
11. Suspension and termination
You may stop using the service and close your account at any time. We may suspend or terminate an account that breaches these terms, that we reasonably believe is being used unlawfully, or that puts the service or other customers at risk — with notice where practical, immediately where it is not. If we terminate you without cause, we will refund any period you have paid for and not used. Sections 3, 4, 7, 9, 10, 12 and 14 survive termination.
12. Disputes: informal resolution first, then individual arbitration
Please read this section carefully. It affects how disputes between us are resolved, and it limits your right to a jury trial and to participate in a class action.
Talk to us first. Before either of us starts a formal proceeding, the complaining side will send the other a written description of the dispute and what it wants, to [CONTACT EMAIL] or to the address in section 15, and both sides will try in good faith to resolve it for 30 days.
Arbitration. If that fails, any dispute arising out of or relating to these terms or the service will be resolved by binding arbitration administered by the American Arbitration Association under its applicable consumer or commercial rules, before one arbitrator, seated in [STATE] or, at your election, in your home county or by video. Judgment on the award may be entered in any court with jurisdiction.
Individual basis only. Claims may be brought only in your or our individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this paragraph is found unenforceable as to a particular claim or remedy, that claim or remedy proceeds in court and the rest of this section still governs everything else.
Exceptions. Either of us may bring an individual claim in small-claims court, and either of us may seek an injunction in court to protect intellectual property or to stop unauthorised access.
You can opt out. You may reject this arbitration agreement by emailing [CONTACT EMAIL] within 30 days of first accepting these terms, with your name and the email on your account. Opting out costs you nothing, changes nothing else in these terms, and we will not treat you differently for it. If you opt out, section 13 governs instead.
13. Governing law and venue
These terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules, and by the Federal Arbitration Act as to section 12. For any dispute not subject to arbitration, the state and federal courts located in [STATE] have exclusive jurisdiction, and both sides consent to venue there.
14. Changes to these terms
We may update these terms. We will post the new version here with a new version number, and for any change that materially affects your rights we will email you at least 30 days before it takes effect and will ask you to accept it. If you do not accept a material change, you may cancel before it takes effect and we will refund any unused period you have paid for. Continuing to use the service after a non-material update means you accept it.
15. Everything else
These terms and the Privacy Policy are the entire agreement between us about the service. If any part is unenforceable, the rest stays in force. Our not enforcing something is not a waiver of it. You may not assign these terms; we may assign them to a successor in a merger or sale of the business, on notice to you. Nothing here creates a third-party beneficiary, a partnership or an agency. Neither side is liable for delays caused by events beyond its reasonable control. Notices to you go to your account email; notices to us go to [CONTACT EMAIL] and to [LEGAL ENTITY NAME], [MAILING ADDRESS].
